Terms of service

These Terms of Service ("Terms") govern the use of the TalkAgent platform (the "Service"), operated by CELLAR TECHNOLOGIES MÉXICO, S.A.P.I. DE C.V. ("TalkAgent", "we"). By creating an account or using the Service, you accept these Terms.

1. Service description

TalkAgent lets a business ("Customer") connect a WhatsApp Business number, upload their own business documents, and offer AI-automated responses to their end customers based on that information, with the option for a member of the Customer's team to take over the conversation at any time.

2. Account and registration

To use the Service you need to create an account with truthful information. You're responsible for keeping your password confidential and for all activity that occurs under your account.

3. Subscription and payments

• The Service is offered under a monthly subscription plan of $499.00 MXN, auto-renewing every month until canceled.
• Payments are processed through Stripe. TalkAgent does not store your card data.
• You can cancel your subscription at any time from the billing portal inside the panel; access to the Service continues until the end of the already-paid period.
• No refunds are issued for partial periods, unless required by applicable law.

4. Acceptable use

By using the Service, you agree not to:

• Use the Service to send spam, illegal, fraudulent or misleading content.
• Violate Meta/WhatsApp Business Platform's usage policies, including restrictions on general-purpose chatbots.
• Attempt to gain unauthorized access to other accounts, systems or TalkAgent data.
• Use the Service in a way that infringes third-party rights.

We may suspend or cancel accounts that violate these conditions, with or without prior notice, depending on the severity of the case.

5. Customer content

The documents and information the Customer uploads to the platform remain the Customer's property. By uploading them, the Customer grants us a limited license to process them (including generating embeddings/vectors and using them as context for the AI model) solely to operate the Service for that Customer.

6. Intellectual property

The software, design, brand and other elements of TalkAgent are property of CELLAR TECHNOLOGIES MÉXICO, S.A.P.I. DE C.V. These Terms do not grant you any rights over them beyond the use of the Service as described here.

7. Service availability

We make a reasonable effort to keep the Service available, but we do not guarantee uninterrupted operation. The Service depends on third parties (Meta/WhatsApp, Twilio, AWS) whose availability is outside our direct control.

8. Limitation of liability

The Service is provided "as is". To the extent permitted by law, TalkAgent will not be liable for indirect, incidental or consequential damages arising from the use of the Service, including AI-generated responses that turn out to be inaccurate or insufficient. The Customer is responsible for reviewing that the information they upload is correct and for supervising their business's conversations.

9. Termination

You can stop using the Service and cancel your subscription at any time. We may suspend or terminate your access if you breach these Terms or for non-payment.

10. Changes to these Terms

We may update these Terms periodically. Changes take effect when published on this page. Continued use of the Service after a change implies your acceptance.

11. Governing law

These Terms are governed by the laws of the United Mexican States. Any dispute will be submitted to the competent courts of Mexico, unless applicable law provides otherwise.
